Use of the Company's website, software, services, or platform (the "Platform") may involve the exchange of confidential, proprietary, or sensitive information for lawful use of the Platform.

Consumer User: Individual using the Platform for personal, non-commercial purposes.

Enterprise User: Any business, organization, or person acting on behalf of an entity.

Unless otherwise stated, all provisions apply to both.

"Confidential Information" includes all non-public information disclosed by either party, including but not limited to:

• Business, financial, operational, and technical data
• Software, source code, APIs, designs, documentation
• User submissions and platform data

Excludes information that:

• Is public without breach
• Was lawfully known prior to disclosure
• Is independently developed
• Is lawfully obtained from a third party

Each party agrees to:

• Use Confidential Information solely for the Platform's purpose
• Protect it using commercially reasonable safeguards
• Restrict disclosure to authorized personnel only
• Remain responsible for breaches by its representatives

You retain ownership of your data.

You grant Company a limited, non-exclusive license to process such data solely to operate and improve the Platform.

You represent that:

• You have full rights to submit all content
• Your submissions do not violate law or third-party rights

If acting on behalf of an entity, you represent that you have full authority to bind that entity.

Company assumes no responsibility for unauthorized acceptance.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by applicable law, regardless of jurisdiction:

• Company assumes no responsibility or liability for data loss.
• Company assumes no responsibility or liability for business interruption.
• Company assumes no responsibility or liability for lost profits or revenues.
• Company assumes no responsibility or liability for indirect, incidental, consequential, special, or punitive damages.

TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED: USD $0 OR AMOUNTS PAID IN THE PRIOR 12 MONTHS, WHICHEVER IS LESS.

Where exclusions are restricted, liability is limited to the minimum extent required by law.

You agree to indemnify and hold harmless Carson Engineering Design L.L.C., its officers, members, and affiliates from claims arising from:

• Your use of the Platform
• Your content or data
• Violation of this Agreement or applicable law

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration, except where prohibited by law.

• Language: English
• Format: Remote or document-based where possible
• Individual claims only - no class or representative actions

YOU WAIVE THE RIGHT TO JURY TRIALS AND CLASS ACTIONS.

• Country of residence
• Clear opt-out statement

All other terms remain binding.

Enterprise Users: Laws of the State of California, USA.

Consumer Users: Mandatory local consumer protection laws may apply in addition.

Conflict-of-law rules are excluded to the maximum extent permitted.

The Platform is operated from the United States and may be accessed globally.

You are solely responsible for:

• Compliance with local laws
• Determining legality in your jurisdiction
• Access is void where prohibited

You represent that you:

• Are not located in a sanctioned jurisdiction
• Are not on restricted or denied-party lists
• Will not use the Platform in violation of export or sanctions laws

This Agreement is written in English.

Translations are for convenience only.

English controls in all cases.

Company may suspend or terminate access at any time.

Confidentiality, arbitration, liability, and indemnification provisions survive termination.

This Agreement constitutes the entire understanding between you and Carson Engineering Design L.L.C. (DBA Bruellman) and supersedes all prior agreements.
